A trademark licence agreement allows the owner of a protected trademark to authorize other parties to use it.<br\/> <br\/>It is important to note that the licensee merely obtains the right to use the trademark under the terms specified in the agreement. Ownership of the trademark and the underlying trademark rights remains unchanged. The trademark owner does not transfer or relinquish its rights. A trademark licence agreement simply authorizes another party to exercise certain rights relating to the trademark in China.     <\/p>\n\n<h2 class=\"wp-block-heading wp-block-heading-red\"><strong>Types of Trademark Licence Agreements<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Chinese law recognizes several types of trademark licence agreements. These are primarily distinguished by the scope of rights granted to the licensee and the number of parties authorized to use the trademark. The most common categories are exclusive and non-exclusive licences.<br\/><br\/>In addition, depending on the purpose of the arrangement, a licence may be granted either for consideration or free of charge. Where the licensee derives commercial benefit from using the trademark, the parties will typically agree on a licence fee. This is common in broader international business relationships based on franchising or distribution models.<br\/><br\/>However, where a company engages a Chinese factory to manufacture products bearing its trademark, a royalty-free licence is usually appropriate. In such cases, the factory must be authorized to use the protected trademark, even if solely for the purpose of manufacturing products on behalf of the trademark owner. At the same time, it is also advisable to put in place a properly drafted <a href=\"https:\/\/cong-ming.com\/en\/manufacturing-agreement-with-a-chinese-factory\/\" type=\"post\" id=\"773\"><strong>Manufacturing Agreement with a Chinese Factory<\/strong><\/a>.         <\/p>\n\n<h3 class=\"wp-block-heading\"><strong>Exclusive Trademark Licence Agreement in China<\/strong><\/h3>\n\n<p class=\"wp-block-paragraph\">A trademark licence may be granted on an exclusive basis. An exclusive licence authorizes the licensee to use the trademark to the exclusion of other parties. By granting an exclusive licence to one entity, the trademark owner limits its ability to authorize additional parties to use the trademark.<br\/><br\/>It should be noted that exclusive licences may take different forms. In some cases, the trademark owner also excludes itself from using the trademark (sole licence). In other cases, the trademark owner grants the licence to only one third party but retains the right to continue using the trademark itself (exclusive licence). Such arrangements are commonly used as part of broader commercial agreements, including <strong><a href=\"https:\/\/cong-ming.com\/en\/exclusive-distribution-agreement-with-a-chinese-supplier\/\" type=\"post\" id=\"935\">exclusive distribution agreements<\/a><\/strong> covering a specific territory.    <\/p>\n\n<h3 class=\"wp-block-heading\"><strong>Non-Exclusive Trademark Licence Agreement in China<\/strong><\/h3>\n\n<p class=\"wp-block-paragraph\">Chinese law also permits non-exclusive trademark licences. Under a non-exclusive licence, the licensor retains the right both to use the trademark itself and to grant additional licences to other parties. As a result, multiple entities may legally use the same trademark simultaneously and within the same territory. Non-exclusive licences are commonly granted to Chinese factories engaged in the manufacture of products bearing the trademark owner&#8217;s brand. They are also frequently used in franchise arrangements and non-exclusive distribution relationships.     <\/p>\n\n<h2 class=\"wp-block-heading wp-block-heading-red\">Authorizing a Chinese Factory to Use a Trademark<\/h2>\n\n<p class=\"wp-block-paragraph\">As explained in a separate article, trademark registration in China grants the owner the exclusive right to use the trademark. These rights include, among other things, <strong><a href=\"https:\/\/cong-ming.com\/en\/trademark-enforcement-in-china\/\">the exclusive right<\/a><\/strong> to manufacture, store, and sell goods bearing the protected trademark. As a result, no person or company in China may legally engage in such activities without the authorization of the trademark owner. Chinese law also prohibits the sale of trademark labels and packaging materials without the trademark owner&#8217;s consent. For this reason, businesses that own registered trademarks in China and engage Chinese factories to manufacture their products should ensure that appropriate trademark licence agreements are signed with their suppliers.    <\/p>\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" src=\"https:\/\/cong-ming.com\/wp-content\/uploads\/9-Trademark-License-Agreement-With-a-Chinese-Factory-1024x798.jpg\" alt=\"Infographic presenting the key elements of a trademark license agreement with a Chinese manufacturer, including compliance with Chinese law, a bilingual version, a limited scope of license, and a limited license period.\" class=\"wp-image-1753\"\/><\/figure>\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n<p class=\"wp-block-paragraph\">If a Chinese supplier is expected to apply a logo that is registered as a trademark in China, the supplier should have a valid trademark licence. The agreement should ideally be prepared in a bilingual English-Chinese version and drafted by a lawyer familiar with Chinese law.<br\/><br\/>A trademark licence granted to a Chinese supplier for manufacturing purposes should be limited in scope. The supplier should not be entitled to use the trademark in the same manner as the trademark owner. Such limitations may relate to both the scope of the rights granted and the duration of the licence. The purpose of these restrictions is to prevent the factory from abusing its rights in relation to the trademark.      <\/p>\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>A properly drafted licence agreement should authorize the Chinese supplier to use the trademark solely for the purpose of manufacturing products for the trademark owner. The supplier should be expressly prohibited from using the trademark for its own production activities or for manufacturing products on behalf of third parties. The agreement should also prohibit the factory from selling products bearing the protected trademark to any party other than the trademark owner.  <\/strong><\/p>\n<\/blockquote>\n\n<p class=\"wp-block-paragraph\">The appropriate duration of the licence depends on the frequency of orders placed with the factory and the level of trust between the parties. During the early stages of cooperation, it is generally advisable to grant a licence only for the duration of a specific production order.<br\/><br\/>Where the Chinese supplier is a trusted business partner and orders are placed regularly, a framework trademark licence agreement may be more appropriate. Such an agreement can be concluded for a longer period, for example one or two years, regardless of the production schedule.   <\/p>\n\n<h2 class=\"wp-block-heading wp-block-heading-red\">Registration of a Trademark Licence in China<\/h2>\n\n<p class=\"wp-block-paragraph\">Under Chinese law, a trademark owner that grants a licence for the use of a trademark in China is required to register the licence. A trademark licence agreement should be recorded with CNIPA through the Trademark Office. As noted above, the agreement should ideally be prepared in both English and Chinese. Where only an English-language version exists, a notarized Chinese translation must generally be submitted as part of the registration process. Registering the licence protects the interests of the trademark owner and enables additional enforcement measures.     <\/p>\n\n<p class=\"wp-block-paragraph\">A licensee acting as a distributor in China may rely on a registered licence agreement when taking <strong><a href=\"https:\/\/cong-ming.com\/en\/trademark-enforcement-in-china\/\" type=\"post\" id=\"267\">legal action against infringers<\/a><\/strong>. Registration may also prove crucial in the event of a dispute between the licensor and the licensee. Another important benefit of registration is that it can serve as evidence of trademark use.<br\/><br\/>Trademark rights in China may be <strong><a href=\"https:\/\/cong-ming.com\/en\/recovering-trademark-rights-in-china\/\" type=\"post\" id=\"283\">revoked<\/a><\/strong> if the trademark is not used for a continuous period of three years. Any party may file a non-use cancellation action against a registered trademark. Such actions are often initiated by parties seeking to register an identical or similar trademark. For this reason, trademark owners should maintain strong evidence demonstrating actual use of the trademark in China, and a registered trademark licence agreement can form part of that evidence.       <\/p>\n\n<p class=\"wp-block-paragraph\"> <br\/> <\/p>\n\n<div class=\"wp-block-group wp-block-primary\"><div class=\"wp-block-group__inner-container is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\">Summary<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Businesses that have registered their trademarks in China obtain full control over the use of those trademarks within the territory of China. To authorize other parties to use a protected trademark legally, they should enter into appropriate trademark licence agreements.<br\/><br\/>A trademark licence agreement in China may be either exclusive or non-exclusive. Exclusive licences are used where only one party is intended to use the trademark. Non-exclusive licences allow multiple parties to use the trademark legally within the same territory and during the same period. Depending on the circumstances, the agreement may provide for licence fees or grant the licence free of charge.     <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Particular attention should be paid when engaging a Chinese factory to manufacture products bearing a trademark protected in China. A professionally drafted trademark licence agreement helps protect the trademark owner from potential abuse by the factory and should clearly limit the factory&#8217;s rights regarding the manufacture and sale of trademarked products.  <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The agreement should be prepared by a lawyer familiar with Chinese law and drafted in a bilingual English-Chinese format. This is important not only because the agreement is intended to operate in China, but also because trademark licence agreements must be registered with the Chinese authorities.
